Terms of Engagement

Last Revision: September 2026

1. Overview & Scope

These Terms of Engagement govern the commercial relationship between Vermati Inc. ("Vermati") and client organizations ("Client") engaging Vermati for engineering services, CAD/BIM detailing, custom software development, industrial fabrication coordination, or managed execution capacity.

ORDER OF PRECEDENCE NOTICE

These website terms govern public site access and general information. All commercial engagements, technical deliverables, tolerances, IP ownership, and quality controls are explicitly governed by executed Master Services Agreements (MSAs), Statements of Work (SOWs), or signed commercial purchase orders which supersede online terms.

2. Work Packages & Task Orders

All technical scopes are defined via formal Master Services Agreements (MSAs), Statements of Work (SOWs), or Task Orders executed between Vermati and Client. Specific technical deliverables, tolerances, inspection criteria, and delivery schedules specified in an executed SOW supersede general website descriptions.

3. Intellectual Property

Unless otherwise explicitly specified in an SOW, custom CAD models, fabrication drawings, and project specifications developed under a paid Client engagement become Client property upon full settlement of invoice terms. Vermati retains ownership of pre-existing core software engines, CommitOS architecture, FXOS specifications, and internal operational tooling.

4. Quality Control & Constructability Review

Vermati deliverables undergo standard internal quality reviews for tolerance stackup, manufacturability, and drawing accuracy prior to dispatch. Clients remain responsible for final field verification and regulatory sign-off where required by local governing authority.
